Terms of Service

1. Introduction

These Terms & Conditions (“Terms”) govern your use of all services, websites, and products offered by The Rossi Media Company LLC (“TRMC,” “we,” “our,” or “us”).
By accessing our website, engaging our services, or using our products, you agree to these Terms.
If you do not agree, you may not use our services.

2. Scope of Services

TRMC operates in multiple areas, including but not limited to:

  • Video Production & Creative Services – filming, photography, editing, design.

  • Marketing & Consulting – brand strategy, advertising, campaign management.

  • AI & Technology Solutions – AI assistants, automation tools, website development, CRM builds.

Specific project details, deliverables, and timelines will be defined in a Statement of Work (SOW) or proposal accepted by both parties.

3. Eligibility

Partnership-Level:

  • At least 21 years old

  • Business minimum annual gross revenue of USD $200,000

  • Authorized to bind any business or organization you represent

Consumer-Level:

4. Proposals, Quotes & Acceptance

All quotes and proposals are valid for 14 days unless otherwise stated.
Work begins only upon written acceptance, signature, and, where applicable, initial payment.

5. Payment Terms

  • Payment schedules are defined in the project’s SOW or invoice.

  • Unless otherwise stated, 50% upfront and 50% on delivery is required for production projects.

  • Late payments may incur a 1.5% monthly interest charge or the maximum allowed by law.

  • TRMC may suspend work for accounts more than 7 days overdue.

  • TRMC may terminate any agreement for accounts 30 days overdue.

  • TRMC may terminate any agreement if the client fails to make timely payment on two or more invoices within a 12-month period.

6. Cancellations & Rescheduling

  • Cancellations made 14+ days before project start: deposit may be refundable at TRMC’s discretion.

  • Cancellations within 14 days: deposit is non-refundable.

  • Contract Terminations: exit & asset delivery fee placed.

  • Rescheduling is subject to crew, location, and resource availability.

  • AI/software projects cancelled after commencement are billed for work completed to date.

7. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for the project.

  • Secure all necessary permissions, releases, and access rights for filming or asset creation.

  • Respond to TRMC’s requests in a timely manner to avoid delays.

  • Maintain backups of any content or data shared with TRMC.

  • Maintain consistent communication with assigned TRMC staff.

8. Intellectual Property

  • TRMC-Owned Content – All raw footage, designs, code, AI models, and creative materials remain TRMC’s property unless transferred under written agreement.

  • Final Deliverables – Rights are granted to the client upon full payment.

  • License Scope – Unless otherwise agreed, deliverables are licensed for the intended use stated in the SOW and may not be resold, sub-licensed, or repurposed without TRMC’s written consent.

  • AI Tools – If deliverables incorporate AI-generated elements, TRMC will ensure they comply with applicable laws, but the client assumes responsibility for final usage compliance.

9. Confidentiality

Both parties agree to keep all non-public information confidential, including trade secrets, pricing, strategies, and project details, unless disclosure is required by law.

10. Warranties & Disclaimers

  • TRMC warrants that it will perform services in a professional and workmanlike manner.

  • Except as expressly provided, all services and deliverables are provided “as is” without warranties of any kind, whether express or implied.

  • TRMC does not guarantee specific outcomes from marketing campaigns, AI systems, or creative projects.

11. Limitation of Liability

To the fullest extent permitted by law:

  • TRMC shall not be liable for indirect, incidental, consequential, or punitive damages.

  • Our total liability in connection with any project shall not exceed the amount paid by the client for the specific services giving rise to the claim.

12. Indemnification

You agree to indemnify and hold TRMC harmless from any claims, damages, or liabilities arising from:

  • Your use of our services or deliverables

  • Any breach of these Terms

  • Any infringement caused by content you supply

13. Force Majeure

TRMC is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, pandemics, or government actions.

14. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Mississippi, USA, without regard to conflicts of law principles.

  • Any disputes shall be resolved in the state or federal courts located in Lafayette County, Mississippi.

  • Before litigation, parties agree to attempt good-faith mediation.

15. Changes to These Terms

TRMC may update these Terms at any time. Changes will be posted on our website with a revised “Last Updated” date. Continued use of our services after changes take effect constitutes acceptance.
